3.1 Evolute Connect is software designed to facilitate confidential dialogue between you and industrial companies. The goal is to enable industrial companies to develop better or more suitable products, materials, or services for tradespeople.
3.2 For this to work, you, as the author of the content you post/share, grant usage rights via Evolute to the industrial company in contact with you — while you remain the author and owner of your posted content.
3.3 When you share, post, or upload content protected by intellectual property rights (such as texts, photos, or videos) on or in connection with our service, you grant Evolute a non-exclusive, transferable, sublicensable, and temporally and geographically unrestricted right to host, use, distribute, modify, execute, copy, publicly perform or display, translate, and create derivative works from your content, so that we can provide Evolute Connect. No usage rights beyond those required for the operation of Evolute Connect are granted by you.
3.4 Evolute in turn grants the usage rights to the uploaded content to the industrial company in contact with you. This content may be used by the industrial companies to improve their products, services, and information. Evolute may not transfer or sublicense the usage rights granted to the content to third parties for any other purposes.
4. Obligations / Code of Conduct
4.1 You may use Evolute Connect if you
4.1.1 are over 16 years of age, and
4.1.2 work in a trade, for an industrial company, or for an industrial representative.
4.2 Your obligations
4.2.1 Maintain normal standards of courtesy. In particular, insults, defamation, profanity, or exaggerations are prohibited.
4.2.2 Use an objective tone when providing product feedback or responding to surveys, and refrain from exaggerations.
4.2.3 You must not do anything unlawful, misleading, or fraudulent, or anything for an illegal or unauthorized purpose.
4.2.4 You must not do anything that disrupts or impairs the intended operation of the service.
4.2.5 You must not attempt to create accounts or access or collect information in an unauthorized manner. This also includes creating accounts or collecting information in an automated manner without our express permission.
4.2.6 You must not post private or confidential information, nor do anything that violates the rights of a third party, including intellectual property rights.
4.2.7 You must not use content protected by law (e.g., by copyright, trademark, patent, design, or utility model law) unless you are authorized to do so.
4.2.8 You must not use Evolute Connect in violation of applicable law or for purposes incompatible with applicable law.
4.2.9 You must not rent or sell Evolute Connect to third parties, grant sublicenses to third parties, or otherwise make the features or services of Evolute Connect available to third parties.
4.2.10 You must not reverse-engineer, decompile, modify, or create derivative works of Evolute Connect. Your rights under § 69d Abs. 3 and § 69e UrhG remain unaffected.
4.2.11 You must not distribute, transmit, or upload viruses or other malicious software via Evolute Connect that prevents, restricts, or disrupts access by other users to Evolute Connect, or that eliminates, restricts, or impairs the functionality of Evolute Connect.
4.2.12 You must not circumvent, disable, or otherwise interfere with security measures of Evolute Connect that are intended to prevent or restrict unauthorized use or reproduction of Evolute Connect content.
4.2.13 You must not attempt to access Evolute Connect by any means other than through Evolute Connect itself.
4.3 In the event of a violation of the aforementioned usage rules in sections 4.1 and 4.2, Evolute may exclude you from using Evolute Connect with immediate effect.
5. Services Provided by Evolute
5.1 Evolute provides Evolute Connect via the Evolute App. Through Evolute Connect, you can
5.1.1 respond to surveys from industrial companies,
5.1.2 receive responses from industrial companies, and
5.1.3 in some cases view feedback from others and the responses of the industrial companies.
5.2 Evolute further processes the information so that industrial companies can optimally utilize and analyze your responses/feedback.
6. Costs
The use of Evolute Connect is free of charge.
7. Confidentiality Agreement
7.1 Confidential information within the meaning of these Terms of Use includes
7.1.1 all information that the industrial companies provide to you, make accessible to you, or that otherwise comes to your attention in connection with Evolute Connect, and
7.1.2 all content made available via Evolute Connect by industrial companies and the related conversations between you and the respective industrial company.
7.2 Confidential information within the meaning of section 7.1 includes in particular surveys, product tests, needs assessments, trade secrets, products, manufacturing processes, know-how, inventions, business relationships, business strategies, business plans, financial planning, personnel matters, and digitally embodied information (data), irrespective of
7.2.1 the medium on which the confidential information is embodied,
7.2.2 whether it is marked as “confidential” or “secret”,
7.2.3 whether, from your perspective, it has particular economic value, or
7.2.4 any other technical or organizational measures taken by the disclosing industrial company to protect confidentiality.
7.3 You hereby undertake to
7.3.1 treat the confidential information in strict confidence and not to disclose it to third parties (as defined in section 7.4),
7.3.2 take at least the same measures with respect to the confidential information as you take to protect your own confidential information, and in any case take no less than the measures reasonably expected of you, to prevent disclosure of confidential information and to safeguard the interest of the disclosing industrial company in maintaining secrecy,
7.3.3 maintain and employ appropriate and up-to-date electronic security measures to protect the confidential information, and
7.3.4 use the confidential information solely for the purpose of using Evolute Connect.
7.4 Third parties within the meaning of these Terms of Use are all persons and companies that are (i) not Evolute or (ii) not the disclosing industrial company. The disclosing industrial company may permit you to disclose confidential information to third parties by prior written consent.
7.5 You shall notify Evolute immediately in writing if you become aware that confidential information has in any way reached unauthorized persons, or if circumstances exist that create a risk of this occurring.
7.6 You are prohibited from obtaining confidential information by means of reverse engineering. Reverse engineering comprises all actions, including observing, testing, examining, and disassembling and, where applicable, reassembling, with the aim of obtaining confidential information.
7.7 The obligation of confidentiality does not apply to the extent that
7.7.1 the confidential information in question was publicly known at the time it was made available by an industrial company for a reason other than a breach of this agreement,
7.7.2 the confidential information in question becomes accessible to you through a source other than the disclosing industrial company, provided that you have no reason to believe that such source is itself prevented by a legal or contractual obligation from disclosing the confidential information,
7.7.3 the disclosing industrial company has permitted you, by prior written consent, to pass on certain confidential information to a third party,
7.7.4 the confidential information was already in your lawful possession before it was made available by the disclosing industrial company, or
7.7.5 you are obligated to disclose confidential information by virtue of an order or directive of a competent court, a competent authority, or a mandatory provision of stock exchange law.
In all other respects, § 5 GeschGehG remains unaffected by this provision.
7.8 If, in a case under section 7.7.5, you are compelled to disclose confidential information, you shall immediately inform the disclosing industrial company in writing upon receipt of the order or directive regarding the required disclosure, refrain from any further disclosure, and support the disclosing industrial company in protecting the confidential information to the greatest extent possible or in obtaining judicial protection thereof.
7.9 Upon written request of the disclosing industrial company, you shall immediately return or destroy all physical and/or electronic reproductions and copies of confidential information, including any materials you have prepared that contain confidential information or allow inferences to be drawn therefrom (regardless of the medium on which they are embodied), at the choice of the disclosing industrial company, and shall immediately confirm the complete return or destruction to the disclosing industrial company in writing.
7.10 Applicable statutory retention obligations shall only take precedence if they are mandatory. Any right of retention on your part (regardless of the legal basis) is excluded.
8. Liability
8.1 Evolute shall be liable without limitation for intent and gross negligence, for damages resulting from injury to life, body, or health caused by Evolute, its legal representatives, or vicarious agents, as well as under the Product Liability Act (Produkthaftungsgesetz).
8.2 For slight negligence, Evolute shall only be liable if a material contractual obligation has been breached by Evolute, its legal representatives, senior employees, or vicarious agents. In such cases, Evolute shall only be liable for foreseeable damages that would typically be expected to occur. Material contractual obligations are those obligations that form the basis of the contract, that were decisive for the conclusion of the contract, and on the fulfillment of which you may rely.
8.3 Any further liability of Evolute is excluded.
9. Indemnification
9.1 You warrant that no third-party rights will be infringed through your use of Evolute Connect.
9.2 You shall indemnify Evolute upon first demand against all third-party claims, to the extent that such claims are based on your non-compliance with contractual obligations. The same applies to litigation costs incurred in connection with the defense against such claims, i.e., the actual attorney’s fees and court costs, as well as any other costs associated with the litigation.
10. Additional Agreements
Industrial companies participating in Evolute Connect may additionally enter into a separate agreement governing usage rights, confidentiality, or field test procedures; this is not precluded by these Terms of Use.
11. Amendments and Supplements to the Terms of Use
Evolute reserves the right to amend or supplement the Terms of Use. Evolute will notify you of any amendment or supplement. Amendments and supplements shall be deemed accepted by you unless you object in writing within four weeks of being notified. Evolute will draw your attention to the consequences of silence in the notification regarding the amendment or supplement to the Terms of Use. Should you not agree to the amendments or supplements, Evolute may exclude you from using Evolute Connect with immediate effect, provided that your continued use is unreasonable for Evolute considering all circumstances. In the case of amendments or supplements to the Terms of Use that are mandatorily required under applicable law or by court or regulatory order, the aforementioned period may also be shorter.
12. Final Provisions
12.1 Nothing in these Terms of Use shall be construed as granting or transferring any rights in your favor by license or otherwise with respect to any patent rights, copyrights, trade secrets, or other intellectual property rights, nor does this agreement grant you any rights with respect to the confidential information, except for the use of the confidential information as set out in these Terms of Use.
12.2 Any deviating or supplementary terms and conditions of yours shall not be recognized and shall therefore not form part of the contract, even if Evolute does not object to them. Even if Evolute refers to a document that contains or references third-party terms and conditions, this shall not constitute consent to the applicability of such terms and conditions. Other terms and conditions shall only apply if Evolute expressly agrees to their applicability in writing.
12.3 No oral or written side agreements to these Terms of Use exist. Any amendments to these Terms of Use must be made in writing.
12.4 The place of performance for all obligations arising directly or indirectly from these Terms of Use shall be the registered office of Evolute.
12.5 You shall only be entitled to set-off and retention rights in respect of undisputed or legally established claims arising from or in connection with these Terms of Use.
12.6 You require the prior written consent of Evolute for any assignment of your rights under these Terms of Use.
12.7 These Terms of Use shall be governed by German law as applicable between parties domiciled in Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
12.8 The exclusive place of jurisdiction shall be — to the extent permitted by law — Düsseldorf.
12.9 Should individual provisions of these Terms of Use be or become invalid or unenforceable, the validity of the remaining Terms of Use shall remain unaffected. The invalid or unenforceable provision shall be replaced by a valid and enforceable provision whose effects most closely approximate the economic objective of the invalid or unenforceable provision.

Willkommen bei Evolute Connect!
Diese Nutzungsbedingungen regeln Deine Nutzung von Evolute Connect und stellen Informationen über den nachfolgend erläuterten Evolute Connect-Dienst bereit.
1. Geltungsbereich
Diese Nutzungsbedingungen gelten für Nutzer des internen Evolute Connect-Bereichs („Evolute-Connect”).
2. Vertragspartner
Diese Nutzungsbedingungen stellen eine Vereinbarung zwischen Dir und der Evolute CX GmbH („Evolute”) dar.
3.1 Evolute Connect ist eine Software, die dazu dient, den vertraulichen Dialog zwischen Dir und Industrieunternehmen zu fördern. Ziel ist, dass Industrieunternehmen bessere oder passendere Produkte, Materialien oder Dienstleistungen für Handwerker entwickeln können.
3.2 Damit dies funktioniert, gibst Du als Urheber der Inhalte, die Du postest/teilst, Nutzungsrechte über Evolute an das mit Dir in Kontakt stehende Industrieunternehmen ab – während Du Urheber und Eigentümer an Deinen geposteten Inhalten bleibst.
3.3 Wenn Du Inhalte, die durch geistige Eigentumsrechte geschützt sind (wie bspw. Texte, Fotos oder Videos), auf oder in Verbindung mit unserem Dienst teilst, postest oder hochlädst, gewährst Du Evolute ein nicht-ausschließliches, übertragbares, unterlizenzierbares sowie zeitlich und räumlich unbeschränktes Nutzungsrecht, Deine Inhalte zu hosten, verwenden, verbreiten, modifizieren, auszuführen, zu kopieren, öffentlich vorzuführen oder anzuzeigen, zu übersetzen und abgeleitete Werke davon zu erstellen, damit wir Evolute Connect zur Verfügung stellen können. Darüberhinausgehende Nutzungsrechte, die nicht für den Betrieb von Evolute Connect benötigt werden, werden von Dir nicht gewährt.
3.4 Evolute wiederum räumt die gewährten Nutzungsrechte an den hochgeladenen Inhalten dem mit Dir in Kontakt stehenden Industrieunternehmen ein. Diese Inhalte können von den Industrieunternehmen zur Verbesserung ihrer Produkte, Services und Informationen genutzt werden. Zu anderen Zwecken darf Evolute das an den Inhalten eingeräumte Nutzungsrecht nicht an Dritte übertragen oder unterlizenzieren.
4. Verpflichtungen/Umgangsregeln
4.1 Du kannst Evolute Connect nutzen, wenn Du
4.1.1 über 16 Jahre alt bist und
4.1.2 im Handwerk oder für ein Industrieunternehmen oder eine Industrievertretung arbeitest.
4.2 Deine Verpflichtungen
4.2.1 Halte normale Formen der Höflichkeit ein. Insbesondere Beleidigungen, Verleumdungen, Schimpfwörter oder Übertreibungen sind untersagt.
4.2.2 Nutze bezogen auf Produktfeedbacks/Befragungen einen sachlichen Ton und verzichte auf Übertreibungen.
4.2.3 Du darfst nichts Rechtswidriges, Irreführendes oder Betrügerisches oder etwas für einen illegalen oder unberechtigten Zweck tun.
4.2.4 Du darfst nichts tun, das den beabsichtigten Betrieb des Dienstes stört oder beeinträchtigt.
4.2.5 Du darfst nicht versuchen, auf unberechtigte Art und Weise Konten zu erstellen oder auf Informationen zuzugreifen bzw. diese zu erfassen. Dies umfasst auch das Erstellen von Konten oder das Erfassen von Informationen auf automatisierte Weise ohne unsere ausdrückliche Genehmigung.
4.2.6 Du darfst keine privaten oder vertraulichen Informationen posten und auch nichts tun, das gegen die Rechte eines Dritten, einschließlich geistiger Eigentumsrechte, verstößt.
4.2.7 Du darfst keine gesetzlich (z. B. durch das Urheber-, Marken-, Patent-, Geschmacksmuster- oder Gebrauchsmusterrecht) geschützten Inhalte verwenden, sofern Du hierzu nicht berechtigt bist.
4.2.8 Du darfst Evolute Connect nicht unter Verstoß gegen geltendes Recht oder zu Zwecken, die mit geltendem Recht unvereinbar sind, nutzen.
4.2.9 Du darfst Evolute Connect nicht an Dritte vermieten oder verkaufen, Dritten Unterlizenzen erteilen oder die Funktionen oder Dienste von Evolute Connect Dritten anderweitig zugänglich machen.
4.2.10 Du darfst Evolute Connect keinem Reverse Engineering unterziehen, nicht dekompilieren, bearbeiten oder abgeleitete Werke erstellen. Deine Rechte aus § 69d Abs. 3 und § 69e UrhG bleiben hiervon unberührt.
4.2.11 Du darfst keine Viren oder andere Schadsoftware über Evolute Connect verbreiten, übermitteln oder in Evolute Connect hochladen, die den Zugriff anderer Nutzer auf Evolute Connect verhindert, einschränkt oder stört bzw. die Funktionsfähigkeit von Evolute Connect aufhebt, einschränkt oder beeinträchtigt.
4.2.12 Du darfst keine Sicherungsvorkehrungen von Evolute Connect, die eine unberechtigte Nutzung oder Vervielfältigung von Inhalten von Evolute Connect verhindern oder einschränken sollen, umgehen, ausschalten oder anderweitig beeinträchtigen.
4.2.13 Du darfst nicht versuchen, anderweitig als unter Verwendung von Evolute Connect auf Evolute Connect zuzugreifen.
4.3 Im Falle eines Verstoßes gegen die vorgenannten Nutzungsregelungen in den Ziffern 4.1 und 4.2 kann Evolute Dich fristlos von der Nutzung von Evolute Connect ausschließen.
5. Leistungen von Evolute
5.1 Evolute stellt über die Evolute App Evolute Connect bereit. Über Evolute Connect kannst Du
5.1.1 Befragungen von Industrieunternehmen beantworten,
5.1.2 Antworten von Industrieunternehmen erhalten und
5.1.3 teilweise Feedbacks von anderen und die Antwort der Industrieunternehmen einsehen.
5.2 Evolute verarbeitet die Informationen so weiter, dass Industrieunternehmen Deine Antworten/Feedbacks optimal weiterverwerten und analysieren können.
6. Kosten
Die Nutzung von Evolute Connect ist kostenlos.
7. Vertraulichkeitserklärung
7.1 Vertrauliche Informationen im Sinne dieser Nutzungsbestimmungen sind
7.1.1 sämtliche Informationen, die die Industrieunternehmen Dir im Zusammenhang mit Evolute Connect zur Verfügung stellen, zugänglich machen oder Dir sonst zur Kenntnis gelangen und
7.1.2 sämtliche über Evolute Connect zur Verfügung gestellte Inhalte von Industrieunternehmen und der diesbezüglichen Gespräche zwischen Dir und dem betreffenden Industrieunternehmen.
7.2 Zu den Vertraulichen Informationen im Sinne von Ziffer 7.1 zählen insbesondere Umfragen, Produkttests, Bedarfsabfragen, Geschäftsgeheimnisse, Produkte, Herstellungsprozesse, Know-how, Erfindungen, geschäftliche Beziehungen, Geschäftsstrategien, Businesspläne, Finanzplanung, Personalangelegenheiten, digital verkörperte Informationen (Daten), wobei unerheblich ist,
7.2.1 auf welchem Trägermedium die Vertraulichen Informationen verkörpert sind,
7.2.2 ob diese als „vertraulich” oder „geheim” gekennzeichnet sind,
7.2.3 aus Sicht von Dir einen besonderen wirtschaftlichen Wert besitzen oder
7.2.4 andere technische oder organisatorische Maßnahmen zum Schutze der Vertraulichkeit, von dem offenlegende Industrieunternehmen ergriffen werden.
7.3 Du verpflichtest Dich hiermit,
7.3.1 die Vertraulichen Informationen streng vertraulich zu behandeln und nicht gegenüber Dritten (wie in Ziffer 7.4 definiert) offenzulegen,
7.3.2 im Hinblick auf die Vertraulichen Informationen zumindest dieselben Maßnahmen wie zum Schutz eigener vertraulicher Informationen, in jedem Fall aber nicht weniger als die dir zumutbaren Maßnahmen zu treffen, um die Offenlegung Vertraulicher Informationen zu verhindern und das Interesse des offenlegenden Industrieunternehmens an deren Geheimhaltung zu wahren,
7.3.3 angemessene und aktuelle elektronische Sicherheitsmaßnahmen zum Schutz der Vertraulichen Informationen vorzuhalten und einzusetzen und
7.3.4 die Vertraulichen Informationen nur zum Zweck der Nutzung von Evolute Connect zu verwenden.
7.4 Dritte im Sinne dieser Nutzungsbestimmungen sind sämtliche Personen und Unternehmen, die (i) nicht Evolute oder (ii) nicht das offenlegende Industrieunternehmen sind. Das offenlegende Industrieunternehmen kann dir eine Offenlegung von Vertraulichen Informationen gegenüber Dritten durch vorherige schriftliche Zustimmung gestatten.
7.5 Du wirst Evolute unverzüglich schriftlich mitteilen, wenn du Kenntnis davon erlangst, dass Vertrauliche Informationen in irgendeiner Weise an Unbefugte gelangt sind oder Dir Umstände vorliegen, wonach Gefahr besteht, dass dies geschieht.
7.6 Dir ist es untersagt, vertrauliche Informationen im Wege des Reverse Engineering zu erlangen. Reverse Engineering sind dabei sämtliche Handlungen, einschließlich des Beobachtens, Testens, Untersuchens und des Rück- sowie ggf. erneuten Zusammenbaus, mit dem Ziel, an vertrauliche Informationen zu gelangen.
7.7 Die Verpflichtung zur Vertraulichkeit gilt nicht, soweit
7.7.1 die betreffende Vertrauliche Information im Zeitpunkt ihrer Zurverfügungstellung durch ein Industrieunternehmen aus einem anderen Grund als der Verletzung dieser Vereinbarung öffentlich bekannt ist,
7.7.2 die betreffende Vertrauliche Information Dir mittels einer anderen Quelle als dem offenlegenden Industrieunternehmen zugänglich wird, vorausgesetzt, dass Du keinen Grund zur Annahme hast, dass diese Quelle selbst durch eine gesetzliche oder vertragliche Verpflichtung gehindert ist, die Vertrauliche Information offenzulegen,
7.7.3 das offenlegende Industrieunternehmen Dir durch vorherige schriftliche Zustimmung die Weitergabe bestimmter Vertraulicher Informationen an einen Dritten gestattet hat,
7.7.4 sich die Vertraulichen Informationen bereits vor der Zurverfügungstellung durch das offenlegende Industrieunternehmen in rechtmäßigem Besitz von Dir befanden oder
7.7.5 Du aufgrund der Verfügung oder Anordnung eines zuständigen Gerichts, einer zuständigen Behörde oder einer zwingenden börsenrechtlichen Bestimmung zur Offenlegung von Vertraulichen Informationen verpflichtet bist.
Im Übrigen bleibt § 5 GeschGehG von dieser Regelung unberührt.
7.8 Sofern du in einem Fall von Ziffer 7.7.5 gezwungen bist, Vertrauliche Informationen offenzulegen, wirst du das offenlegende Industrieunternehmen unverzüglich nach Zugang der Verfügung oder Anordnung über die erforderliche Offenlegung schriftlich informieren und keine weitere Offenlegung vornehmen sowie das offenlegende Industrieunternehmen unterstützen, die Vertraulichen Informationen so weit wie möglich zu schützen oder gerichtlich schützen zu lassen.
7.9 Auf schriftliche Aufforderung des offenlegenden Industrieunternehmen wirst Du unverzüglich sämtliche physische und/oder elektronische Reproduktionen und Kopien von Vertraulichen Informationen, einschließlich der dir gefertigten Materialien, die Vertrauliche Informationen enthalten oder Rückschlüsse auf diese zulassen (gleich auf welchem Trägermedium sie verkörpert sind) nach Wahl des offenlegenden Industrieunternehmen diesem zurückgeben oder vernichten und dem offenlegenden Industrieunternehmen unverzüglich schriftlich die vollständige Rückgabe oder Vernichtung bestätigen.
7.10 Anwendbare gesetzliche Aufbewahrungspflichten stehen dem nur entgegen, wenn sie zwingend sind. Ein Zurückbehaltungsrecht von Dir (gleich aus welchem Rechtsgrund) ist ausgeschlossen.
8. Haftung
8.1 Evolute haftet unbeschränkt für Vorsatz und grobe Fahrlässigkeit, für Schäden aus der Verletzung des Lebens, des Körpers oder der Gesundheit durch Evolute, ihre gesetzlichen Vertreter oder Erfüllungsgehilfen sowie nach dem Produkthaftungsgesetz.
8.2 Für leichte Fahrlässigkeit haftet Evolute nur, wenn eine vertragswesentliche Pflicht durch Evolute, ihre gesetzlichen Vertreter oder leitenden Angestellten oder Erfüllungsgehilfen verletzt wurde. Evolute haftet dabei nur für vorhersehbare Schäden, mit deren Entstehung typischerweise gerechnet werden muss. Vertragswesentliche Pflichten sind solche Pflichten, die die Grundlage des Vertrags bilden, die entscheidend für den Abschluss des Vertrags waren und auf deren Erfüllung du vertrauen darf.
8.3 Im Übrigen ist die Haftung von Evolute ausgeschlossen.
9. Freistellung
9.1 Du stehst dafür ein, dass bei der Nutzung von Evolute Connect keine Rechte Dritter verletzt werden.
9.2 Du stellst Evolute auf erstes Anfordern hin von sämtlichen Ansprüchen Dritter frei, sofern und soweit diese auf der Nichteinhaltung der vertraglichen Pflichten durch Dich beruhen. Dasselbe gilt für die im Zusammenhang mit der Abwehr gegen solche Ansprüche entstandenen Prozesskosten, d. h. den tatsächlich entstandenen Anwalts- und Gerichtskosten sowie den sonstigen mit der Prozessführung verbundenen Kosten.
10. Weitere Vereinbarungen
Es kann sein, dass bei Evolute Connect teilnehmende Industrieunternehmen zusätzlich eine weitere Vereinbarung treffen, die Nutzungsrechte, Vertraulichkeit oder Feldtestabläufe regelt, dies wird durch diese hier vorliegende Nutzungsrechtevereinbarung nicht ausgeschlossen.
11. Änderungen und Ergänzungen der Nutzungsbedingungen
Evolute behält sich das Recht vor, die Nutzungsbedingungen zu ändern oder zu ergänzen. Evolute wird Dich von jeder Änderung oder Ergänzung unterrichten. Änderungen und Ergänzungen gelten durch Dich als angenommen, sofern Du nicht innerhalb von vier Wochen nach Unterrichtung schriftlich widersprichst. Auf die Folgen des Schweigens wird Evolute in der Benachrichtigung über die Änderung bzw. Ergänzung der Nutzungsbedingungen hinweisen. Solltest du den Änderungen bzw. Ergänzungen nicht zustimmen, kann Evolute Dich von der Nutzung von Evolute Connect fristlos ausschließen, sofern die weitere Nutzung durch Dich unter Abwägung aller Umstände für Evolute unzumutbar ist. Im Fall von nach geltendem Recht oder gerichtlicher oder behördlicher Anordnung zwingend erforderlichen Änderungen oder Ergänzungen der Nutzungsbedingungen kann die vorstehend genannte Frist auch kürzer sein.
12. Schlussbestimmungen
12.1 Der Inhalt dieser Nutzungsbestimmungen kann nicht als Einräumung oder Übertragung irgendwelcher Rechte zugunsten von Dir mittels Lizenz oder auf sonstige Weise in Bezug auf jegliche Patentrechte, Urheberrechte, Geschäftsgeheimnisse oder andere gewerbliche Schutzrechte ausgelegt werden, noch räumt diese Vereinbarung Dir Rechte im Hinblick auf die Vertraulichen Informationen ein, mit Ausnahme der Nutzung der Vertraulichen Informationen wie in diesen Nutzungsbestimmungen geregelt.
12.2 Abweichende oder ergänzende Geschäfts-/Nutzungsbedingungen von Dir werden nicht anerkannt und sind damit nicht Vertragsbestandteil, auch wenn Evolute diesen nicht widerspricht. Selbst wenn Evolute auf ein Schreiben Bezug nimmt, das fremde Geschäftsbedingungen enthält oder auf solche verweist, liegt darin kein Einverständnis mit der Geltung jener Geschäftsbedingungen. Nur wenn Evolute der Geltung anderer Geschäfts-/Nutzungsbedingungen ausdrücklich schriftlich zustimmt, finden diese Anwendung.
12.3 Mündliche oder schriftliche Nebenabreden zu diesen Nutzungsbedingungen bestehen nicht. Änderungen dieser Nutzungsbedingungen bedürfen der Schriftform.
12.4 Erfüllungsort für alle sich mittelbar oder unmittelbar aus diesen Nutzungsbedingungen ergebenden Verpflichtungen ist der Sitz von Evolute.
12.5 Du bist zur Aufrechnung und Zurückbehaltung nur wegen unbestrittener oder rechtskräftig festgestellter Forderungen aus dem und im Zusammenhang mit diesen Nutzungsbedingungen berechtigt.
12.6 Du bedarfst der vorherigen schriftlichen Zustimmung von Evolute für eine Abtretung deiner Rechte unter diesen Nutzungsbedingungen.
12.7 Die Nutzungsbedingungen unterliegen deutschem Recht wie es zwischen Parteien mit Sitz in Deutschland Anwendung findet mit Ausnahme des UN-Kaufrechts, welches keine Anwendung findet.
12.8 Ausschließlicher Gerichtsstand ist – soweit gesetzlich zulässig – Düsseldorf.
12.9 Sollten einzelne Bestimmungen der Nutzungsbedingungen unwirksam oder undurchführbar sein oder nach Abschluss unwirksam oder undurchführbar werden, bleibt davon die Wirksamkeit Nutzungsbedingungen im Übrigen unberührt. An die Stelle der unwirksamen oder undurchführbaren Bestimmung soll diejenige wirksame und durchführbare Regelung treten, deren Wirkungen der wirtschaftlichen Zielsetzung möglichst nahekommen.

Bienvenue sur Evolute Connect !
Les présentes conditions d’utilisation régissent votre utilisation d’Evolute Connect et fournissent des informations sur le service Evolute Connect décrit ci-après.
1. Champ d’application
Les présentes conditions d’utilisation s’appliquent aux utilisateurs de l’espace interne Evolute Connect (« Evolute Connect »).
2. Partenaire contractuel
Les présentes conditions d’utilisation constituent un accord entre vous et Evolute CX GmbH (« Evolute »).
3.1 Evolute Connect est un logiciel destiné à favoriser le dialogue confidentiel entre vous et des entreprises industrielles. L’objectif est de permettre aux entreprises industrielles de développer des produits, matériaux ou services meilleurs ou plus adaptés pour les artisans.
3.2 Pour que cela fonctionne, vous cédez, en tant qu’auteur des contenus que vous publiez/partagez, des droits d’utilisation à l’entreprise industrielle en contact avec vous par l’intermédiaire d’Evolute – tout en restant l’auteur et le propriétaire de vos contenus publiés.
3.3 Lorsque vous partagez, publiez ou téléchargez sur ou en lien avec notre service des contenus protégés par des droits de propriété intellectuelle (tels que des textes, des photos ou des vidéos), vous accordez à Evolute un droit d’utilisation non exclusif, transférable, sous-licenciable, illimité dans le temps et dans l’espace, d’héberger, utiliser, distribuer, modifier, exécuter, copier, représenter ou afficher publiquement, traduire vos contenus et de créer des œuvres dérivées à partir de ceux-ci, afin que nous puissions mettre Evolute Connect à disposition. Vous n’accordez aucun droit d’utilisation supplémentaire au-delà de ceux nécessaires au fonctionnement d’Evolute Connect.
3.4 Evolute concède à son tour les droits d’utilisation accordés sur les contenus téléchargés à l’entreprise industrielle en contact avec vous. Ces contenus peuvent être utilisés par les entreprises industrielles pour améliorer leurs produits, services et informations. Evolute n’est pas autorisée à transférer ou sous-licencier à des tiers le droit d’utilisation concédé sur les contenus à d’autres fins.
4. Obligations/Règles de conduite
4.1 Vous pouvez utiliser Evolute Connect si vous
4.1.1 avez plus de 16 ans et
4.1.2 travaillez dans l’artisanat ou pour une entreprise industrielle ou un représentant de l’industrie.
4.2 Vos obligations
4.2.1 Respectez les règles élémentaires de courtoisie. En particulier, les insultes, diffamations, grossièretés ou exagérations sont interdites.
4.2.2 Utilisez un ton objectif pour les retours sur les produits/enquêtes et abstenez-vous de toute exagération.
4.2.3 Vous ne devez rien faire d’illégal, de trompeur ou de frauduleux, ni agir dans un but illicite ou non autorisé.
4.2.4 Vous ne devez rien faire qui perturbe ou entrave le fonctionnement prévu du service.
4.2.5 Vous ne devez pas tenter de créer des comptes ou d’accéder à des informations ou de les collecter de manière non autorisée. Cela inclut la création de comptes ou la collecte d’informations de manière automatisée sans notre autorisation expresse.
4.2.6 Vous ne devez pas publier d’informations privées ou confidentielles, ni rien faire qui porte atteinte aux droits d’un tiers, y compris les droits de propriété intellectuelle.
4.2.7 Vous ne devez pas utiliser de contenus protégés par la loi (par exemple par le droit d’auteur, le droit des marques, le droit des brevets, le droit des dessins et modèles ou le droit des modèles d’utilité), sauf si vous y êtes autorisé.
4.2.8 Vous ne devez pas utiliser Evolute Connect en violation du droit applicable ou à des fins incompatibles avec le droit applicable.
4.2.9 Vous ne devez pas louer ou vendre Evolute Connect à des tiers, accorder des sous-licences à des tiers ou rendre les fonctions ou services d’Evolute Connect accessibles à des tiers de quelque autre manière que ce soit.
4.2.10 Vous ne devez pas soumettre Evolute Connect à de l’ingénierie inverse, le décompiler, le modifier ou créer des œuvres dérivées. Vos droits au titre des § 69d Abs. 3 et § 69e UrhG restent inchangés.
4.2.11 Vous ne devez pas diffuser, transmettre ou télécharger sur Evolute Connect de virus ou d’autres logiciels malveillants qui empêchent, restreignent ou perturbent l’accès d’autres utilisateurs à Evolute Connect ou qui suppriment, restreignent ou altèrent la fonctionnalité d’Evolute Connect.
4.2.12 Vous ne devez pas contourner, désactiver ou altérer de quelque autre manière que ce soit les dispositifs de sécurité d’Evolute Connect destinés à empêcher ou à restreindre une utilisation ou une reproduction non autorisée des contenus d’Evolute Connect.
4.2.13 Vous ne devez pas tenter d’accéder à Evolute Connect autrement qu’en utilisant Evolute Connect.
4.3 En cas de violation des règles d’utilisation susmentionnées aux articles 4.1 et 4.2, Evolute peut vous exclure de l’utilisation d’Evolute Connect avec effet immédiat.
5. Prestations d’Evolute
5.1 Evolute met à disposition Evolute Connect via l’application Evolute. Par l’intermédiaire d’Evolute Connect, vous pouvez
5.1.1 répondre à des enquêtes d’entreprises industrielles,
5.1.2 recevoir des réponses d’entreprises industrielles et
5.1.3 consulter en partie les retours d’autres utilisateurs et les réponses des entreprises industrielles.
5.2 Evolute traite les informations de manière à ce que les entreprises industrielles puissent exploiter et analyser de façon optimale vos réponses/retours.
6. Coûts
L’utilisation d’Evolute Connect est gratuite.
7. Déclaration de confidentialité
7.1 Les informations confidentielles au sens des présentes conditions d’utilisation sont
7.1.1 toutes les informations que les entreprises industrielles mettent à votre disposition, vous rendent accessibles ou portent autrement à votre connaissance dans le cadre d’Evolute Connect et
7.1.2 tous les contenus des entreprises industrielles mis à disposition via Evolute Connect et les échanges y afférents entre vous et l’entreprise industrielle concernée.
7.2 Les informations confidentielles au sens de l’article 7.1 comprennent notamment les enquêtes, tests de produits, sondages de besoins, secrets d’affaires, produits, processus de fabrication, savoir-faire, inventions, relations commerciales, stratégies commerciales, plans d’affaires, planification financière, affaires de personnel, informations incarnées sous forme numérique (données), indépendamment du fait que
7.2.1 le support sur lequel les informations confidentielles sont matérialisées,
7.2.2 si celles-ci sont marquées comme « confidentielles » ou « secrètes »,
7.2.3 si elles présentent, de votre point de vue, une valeur économique particulière, ou
7.2.4 si d’autres mesures techniques ou organisationnelles de protection de la confidentialité sont prises par l’entreprise industrielle divulgatrice.
7.3 Vous vous engagez par les présentes à
7.3.1 traiter les informations confidentielles de manière strictement confidentielle et à ne pas les divulguer à des tiers (tels que définis à l’article 7.4),
7.3.2 prendre, en ce qui concerne les informations confidentielles, au moins les mêmes mesures que pour la protection de vos propres informations confidentielles, mais en tout cas pas moins que les mesures raisonnablement exigibles de votre part, afin d’empêcher la divulgation d’informations confidentielles et de préserver l’intérêt de l’entreprise industrielle divulgatrice à leur maintien au secret,
7.3.3 maintenir et mettre en œuvre des mesures de sécurité électroniques appropriées et à jour pour la protection des informations confidentielles et
7.3.4 utiliser les informations confidentielles uniquement aux fins de l’utilisation d’Evolute Connect.
7.4 Les tiers au sens des présentes conditions d’utilisation sont toutes les personnes et entreprises qui ne sont (i) ni Evolute ni (ii) l’entreprise industrielle divulgatrice. L’entreprise industrielle divulgatrice peut vous autoriser à divulguer des informations confidentielles à des tiers moyennant son consentement écrit préalable.
7.5 Vous informerez Evolute immédiatement par écrit dès que vous aurez connaissance du fait que des informations confidentielles ont été communiquées de quelque manière que ce soit à des personnes non autorisées ou que des circonstances existent laissant craindre que cela puisse se produire.
7.6 Il vous est interdit d’obtenir des informations confidentielles par le biais de l’ingénierie inverse. L’ingénierie inverse désigne l’ensemble des actions, y compris l’observation, le test, l’examen et le démontage, ainsi que, le cas échéant, le réassemblage, dans le but d’obtenir des informations confidentielles.
7.7 L’obligation de confidentialité ne s’applique pas dans la mesure où
7.7.1 l’information confidentielle concernée est publiquement connue au moment de sa mise à disposition par une entreprise industrielle pour une raison autre que la violation du présent accord,
7.7.2 l’information confidentielle concernée vous devient accessible par une source autre que l’entreprise industrielle divulgatrice, à condition que vous n’ayez aucune raison de supposer que cette source est elle-même empêchée par une obligation légale ou contractuelle de divulguer l’information confidentielle,
7.7.3 l’entreprise industrielle divulgatrice vous a autorisé, par consentement écrit préalable, à transmettre certaines informations confidentielles à un tiers,
7.7.4 les informations confidentielles étaient déjà légitimement en votre possession avant leur mise à disposition par l’entreprise industrielle divulgatrice, ou
7.7.5 vous êtes tenu de divulguer des informations confidentielles en vertu d’une décision ou ordonnance d’un tribunal compétent, d’une autorité compétente ou d’une disposition boursière impérative.
Au demeurant, le § 5 GeschGehG n’est pas affecté par la présente disposition.
7.8 Si, dans un cas visé à l’article 7.7.5, vous êtes contraint de divulguer des informations confidentielles, vous informerez immédiatement par écrit l’entreprise industrielle divulgatrice dès réception de la décision ou de l’ordonnance concernant la divulgation requise, vous ne procéderez à aucune divulgation supplémentaire et vous soutiendrez l’entreprise industrielle divulgatrice dans la protection des informations confidentielles dans toute la mesure du possible ou dans l’obtention d’une protection judiciaire.
7.9 Sur demande écrite de l’entreprise industrielle divulgatrice, vous restituerez ou détruirez immédiatement toutes les reproductions et copies physiques et/ou électroniques d’informations confidentielles, y compris les documents que vous avez établis contenant des informations confidentielles ou permettant d’en tirer des conclusions (quel que soit le support sur lequel elles sont matérialisées), au choix de l’entreprise industrielle divulgatrice, et vous confirmerez immédiatement par écrit à l’entreprise industrielle divulgatrice la restitution ou la destruction complète.
7.10 Les obligations légales de conservation applicables n’y font obstacle que si elles sont impératives. Tout droit de rétention de votre part (quel qu’en soit le fondement juridique) est exclu.
8. Responsabilité
8.1 Evolute est responsable de manière illimitée en cas de faute intentionnelle et de négligence grave, pour les dommages résultant d’une atteinte à la vie, à l’intégrité corporelle ou à la santé causée par Evolute, ses représentants légaux ou ses auxiliaires d’exécution, ainsi qu’en vertu de la loi sur la responsabilité du fait des produits.
8.2 En cas de négligence légère, Evolute n’est responsable que si une obligation contractuelle essentielle a été violée par Evolute, ses représentants légaux, ses cadres dirigeants ou ses auxiliaires d’exécution. Evolute n’est alors responsable que des dommages prévisibles dont la survenance est typiquement attendue. Les obligations contractuelles essentielles sont celles qui constituent le fondement du contrat, qui ont été déterminantes pour la conclusion du contrat et dont vous pouvez raisonnablement attendre l’exécution.
8.3 Toute autre responsabilité d’Evolute est exclue.
9. Garantie d’indemnisation
9.1 Vous garantissez qu’aucun droit de tiers n’est violé lors de l’utilisation d’Evolute Connect.
9.2 Vous indemnisez Evolute, sur première demande, de toutes les prétentions de tiers, dans la mesure où celles-ci reposent sur le non-respect de vos obligations contractuelles. Il en va de même pour les frais de procédure encourus dans le cadre de la défense contre de telles prétentions, c’est-à-dire les frais d’avocat et de justice effectivement engagés ainsi que les autres frais liés à la conduite du procès.
10. Accords supplémentaires
Il est possible que des entreprises industrielles participant à Evolute Connect concluent en outre un accord complémentaire régissant les droits d’utilisation, la confidentialité ou les procédures d’essais terrain ; le présent accord sur les droits d’utilisation n’exclut pas cette possibilité.
11. Modifications et compléments des conditions d’utilisation
Evolute se réserve le droit de modifier ou de compléter les conditions d’utilisation. Evolute vous informera de toute modification ou de tout complément. Les modifications et compléments sont réputés acceptés par vous si vous ne vous y opposez pas par écrit dans un délai de quatre semaines suivant la notification. Evolute attirera votre attention sur les conséquences du silence dans la notification relative à la modification ou au complément des conditions d’utilisation. Si vous n’acceptez pas les modifications ou compléments, Evolute peut vous exclure de l’utilisation d’Evolute Connect avec effet immédiat, dans la mesure où la poursuite de votre utilisation est déraisonnable pour Evolute compte tenu de l’ensemble des circonstances. En cas de modifications ou de compléments des conditions d’utilisation rendus obligatoires par le droit applicable ou par une décision judiciaire ou administrative, le délai susmentionné peut être raccourci.
12. Dispositions finales
12.1 Le contenu des présentes conditions d’utilisation ne peut être interprété comme constituant la concession ou le transfert en votre faveur, par voie de licence ou de toute autre manière, de droits quelconques relatifs à des droits de brevet, des droits d’auteur, des secrets d’affaires ou d’autres droits de propriété industrielle, et le présent accord ne vous confère aucun droit sur les informations confidentielles, à l’exception de l’utilisation des informations confidentielles telle que prévue dans les présentes conditions d’utilisation.
12.2 Toutes conditions commerciales/d’utilisation divergentes ou complémentaires de votre part ne sont pas reconnues et ne font donc pas partie intégrante du contrat, même si Evolute ne s’y oppose pas. Même si Evolute fait référence à un courrier contenant des conditions commerciales tierces ou renvoyant à de telles conditions, cela ne constitue pas un consentement à l’application desdites conditions commerciales. Ce n’est que si Evolute consent expressément et par écrit à l’application d’autres conditions commerciales/d’utilisation que celles-ci s’appliquent.
12.3 Il n’existe aucun accord annexe, oral ou écrit, aux présentes conditions d’utilisation. Toute modification des présentes conditions d’utilisation doit être effectuée par écrit.
12.4 Le lieu d’exécution pour toutes les obligations découlant directement ou indirectement des présentes conditions d’utilisation est le siège d’Evolute.
12.5 Vous n’êtes en droit de procéder à une compensation ou d’exercer un droit de rétention qu’en cas de créances incontestées ou définitivement établies par décision de justice, découlant des présentes conditions d’utilisation ou en rapport avec celles-ci.
12.6 Vous avez besoin du consentement écrit préalable d’Evolute pour toute cession de vos droits au titre des présentes conditions d’utilisation.
12.7 Les conditions d’utilisation sont soumises au droit allemand tel qu’il s’applique entre les parties ayant leur siège en Allemagne, à l’exclusion de la Convention des Nations Unies sur les contrats de vente internationale de marchandises, qui ne s’applique pas.
12.8 Le tribunal exclusivement compétent est – dans la mesure où la loi le permet – Düsseldorf.
12.9 Si certaines dispositions des conditions d’utilisation sont ou deviennent invalides ou inexécutables après la conclusion du contrat, la validité des conditions d’utilisation n’en est pas affectée pour le reste. La disposition invalide ou inexécutable sera remplacée par la disposition valide et exécutable dont les effets se rapprochent le plus de l’objectif économique visé.

Le presenti Condizioni d’uso regolano il Suo utilizzo di Evolute Connect e forniscono informazioni sul servizio Evolute Connect illustrato di seguito.
1. Ambito di applicazione
Le presenti Condizioni d’uso si applicano agli utenti dell’area interna di Evolute Connect (“Evolute Connect”).
2. Parte contraente
Le presenti Condizioni d’uso costituiscono un accordo tra Lei e Evolute CX GmbH (“Evolute”).
3.1 Evolute Connect è un software finalizzato a promuovere il dialogo riservato tra Lei e le aziende industriali. L’obiettivo è consentire alle aziende industriali di sviluppare prodotti, materiali o servizi migliori o più adatti per gli artigiani.
3.2 Affinché ciò funzioni, Lei, in qualità di autore dei contenuti che pubblica/condivide, cede i diritti di utilizzo tramite Evolute all’azienda industriale con la quale è in contatto, pur restando autore e proprietario dei contenuti pubblicati.
3.3 Qualora condivida, pubblichi o carichi contenuti protetti da diritti di proprietà intellettuale (come ad esempio testi, foto o video) sul nostro servizio o in connessione con esso, Lei concede a Evolute un diritto di utilizzo non esclusivo, trasferibile, sublicenziabile, nonché illimitato nel tempo e nello spazio, per ospitare, utilizzare, distribuire, modificare, eseguire, copiare, rappresentare o mostrare pubblicamente, tradurre e creare opere derivate dai Suoi contenuti, al fine di poter mettere a disposizione Evolute Connect. Non vengono concessi da Lei ulteriori diritti di utilizzo che non siano necessari per il funzionamento di Evolute Connect.
3.4 Evolute, a sua volta, concede i diritti di utilizzo sui contenuti caricati all’azienda industriale con la quale Lei è in contatto. Tali contenuti possono essere utilizzati dalle aziende industriali per migliorare i propri prodotti, servizi e informazioni. Per altri scopi, Evolute non può trasferire o sublicenziare a terzi il diritto di utilizzo concesso sui contenuti.
4. Obblighi/Regole di condotta
4.1 Lei può utilizzare Evolute Connect se
4.1.1 ha più di 16 anni e
4.1.2 lavora nell’artigianato o per un’azienda industriale o una rappresentanza industriale.
4.2 I Suoi obblighi
4.2.1 Rispetti le normali forme di cortesia. In particolare, sono vietati insulti, diffamazioni, imprecazioni o esagerazioni.
4.2.2 Utilizzi un tono obiettivo in relazione ai feedback sui prodotti/sondaggi e si astenga da esagerazioni.
4.2.3 Non è consentito compiere azioni illecite, ingannevoli o fraudolente, né agire per scopi illegali o non autorizzati.
4.2.4 Non è consentito compiere azioni che interferiscano con il funzionamento previsto del servizio o lo compromettano.
4.2.5 Non è consentito tentare di creare account o accedere a informazioni o raccoglierle in modo non autorizzato. Ciò include anche la creazione di account o la raccolta di informazioni in modo automatizzato senza la nostra esplicita autorizzazione.
4.2.6 Non è consentito pubblicare informazioni private o riservate, né compiere azioni che violino i diritti di terzi, inclusi i diritti di proprietà intellettuale.
4.2.7 Non è consentito utilizzare contenuti protetti dalla legge (ad es. dal diritto d’autore, dal diritto dei marchi, dei brevetti, dei disegni e modelli ornamentali o dei modelli di utilità), salvo che Lei sia autorizzato/a a farlo.
4.2.8 Non è consentito utilizzare Evolute Connect in violazione del diritto vigente o per scopi incompatibili con il diritto vigente.
4.2.9 Non è consentito noleggiare o vendere Evolute Connect a terzi, concedere sublicenze a terzi o rendere in altro modo accessibili a terzi le funzioni o i servizi di Evolute Connect.
4.2.10 Non è consentito sottoporre Evolute Connect a reverse engineering, decompilarlo, modificarlo o creare opere derivate. I Suoi diritti ai sensi del § 69d Abs. 3 e del § 69e UrhG restano impregiudicati.
4.2.11 Non è consentito diffondere, trasmettere o caricare virus o altri software dannosi tramite Evolute Connect, che impediscano, limitino o disturbino l’accesso di altri utenti a Evolute Connect o che annullino, limitino o compromettano la funzionalità di Evolute Connect.
4.2.12 Non è consentito aggirare, disattivare o compromettere in altro modo le misure di sicurezza di Evolute Connect volte a prevenire o limitare l’uso o la riproduzione non autorizzati dei contenuti di Evolute Connect.
4.2.13 Non è consentito tentare di accedere a Evolute Connect in modo diverso dall’utilizzo di Evolute Connect stesso.
4.3 In caso di violazione delle suddette regole di utilizzo di cui ai punti 4.1 e 4.2, Evolute può escluderLa dall’utilizzo di Evolute Connect con effetto immediato e senza preavviso.
5. Servizi di Evolute
5.1 Evolute mette a disposizione Evolute Connect tramite l’app Evolute. Tramite Evolute Connect Lei può
5.1.1 rispondere a sondaggi di aziende industriali,
5.1.2 ricevere risposte da aziende industriali e
5.1.3 in parte visualizzare i feedback di altri e le risposte delle aziende industriali.
5.2 Evolute elabora ulteriormente le informazioni in modo che le aziende industriali possano utilizzare e analizzare in modo ottimale le Sue risposte/i Suoi feedback.
6. Costi
L’utilizzo di Evolute Connect è gratuito.
7. Accordo di riservatezza
7.1 Informazioni riservate ai sensi delle presenti Condizioni d’uso sono
7.1.1 tutte le informazioni che le aziende industriali Le mettono a disposizione, Le rendono accessibili o che vengono altrimenti a Sua conoscenza in relazione a Evolute Connect e
7.1.2 tutti i contenuti messi a disposizione tramite Evolute Connect da parte delle aziende industriali e le relative conversazioni tra Lei e la rispettiva azienda industriale.
7.2 Tra le informazioni riservate ai sensi del punto 7.1 rientrano in particolare sondaggi, test di prodotto, indagini sui fabbisogni, segreti commerciali, prodotti, processi di produzione, know-how, invenzioni, relazioni commerciali, strategie aziendali, business plan, pianificazione finanziaria, questioni relative al personale, informazioni in formato digitale (dati), indipendentemente dal fatto che
7.2.1 le informazioni riservate siano incorporate su qualsiasi supporto,
7.2.2 siano contrassegnate come “riservate” o “segrete”,
7.2.3 dal Suo punto di vista posseggano un particolare valore economico o
7.2.4 l’azienda industriale che le divulga abbia adottato altre misure tecniche o organizzative a tutela della riservatezza.
7.3 Con la presente Lei si impegna a
7.3.1 trattare le informazioni riservate in modo strettamente confidenziale e a non divulgarle a terzi (come definiti al punto 7.4),
7.3.2 adottare, in relazione alle informazioni riservate, almeno le stesse misure adottate per la protezione delle proprie informazioni riservate, e in ogni caso non meno delle misure ragionevolmente esigibili, al fine di impedire la divulgazione delle informazioni riservate e tutelare l’interesse dell’azienda industriale che le divulga alla loro segretezza,
7.3.3 predisporre e utilizzare misure di sicurezza elettroniche adeguate e aggiornate per la protezione delle informazioni riservate e
7.3.4 utilizzare le informazioni riservate esclusivamente ai fini dell’utilizzo di Evolute Connect.
7.4 Terzi ai sensi delle presenti Condizioni d’uso sono tutte le persone e le imprese che (i) non sono Evolute o (ii) non sono l’azienda industriale che divulga le informazioni. L’azienda industriale che divulga le informazioni può consentirLe la divulgazione di informazioni riservate a terzi mediante preventivo consenso scritto.
7.5 Lei informerà immediatamente Evolute per iscritto qualora venga a conoscenza del fatto che informazioni riservate siano in qualsiasi modo pervenute a persone non autorizzate o qualora sussistano circostanze che facciano temere che ciò possa accadere.
7.6 Le è vietato ottenere informazioni riservate mediante reverse engineering. Per reverse engineering si intendono tutte le azioni, incluse l’osservazione, il test, l’analisi e lo smontaggio e l’eventuale riassemblaggio, finalizzate all’ottenimento di informazioni riservate.
7.7 L’obbligo di riservatezza non si applica nella misura in cui
7.7.1 l’informazione riservata in questione sia di pubblico dominio al momento della sua messa a disposizione da parte di un’azienda industriale per un motivo diverso dalla violazione del presente accordo,
7.7.2 l’informazione riservata in questione Le diventi accessibile tramite una fonte diversa dall’azienda industriale che la divulga, a condizione che Lei non abbia motivo di ritenere che tale fonte sia a sua volta vincolata da un obbligo legale o contrattuale che le impedisca di divulgare l’informazione riservata,
7.7.3 l’azienda industriale che divulga le informazioni Le abbia consentito, mediante preventivo consenso scritto, la trasmissione di determinate informazioni riservate a un terzo,
7.7.4 le informazioni riservate fossero già legittimamente in Suo possesso prima della messa a disposizione da parte dell’azienda industriale che le divulga oppure
7.7.5 Lei sia obbligato/a alla divulgazione di informazioni riservate in forza di un provvedimento o di un’ordinanza di un tribunale competente, di un’autorità competente o di una disposizione borsistica vincolante.
Per il resto, il § 5 GeschGehG resta impregiudicato dalla presente disposizione.
7.8 Qualora Lei sia costretto/a, in un caso di cui al punto 7.7.5, a divulgare informazioni riservate, informerà immediatamente per iscritto l’azienda industriale che le divulga dopo la ricezione del provvedimento o dell’ordinanza in merito alla divulgazione necessaria, non procederà a ulteriori divulgazioni e assisterà l’azienda industriale che le divulga nel proteggere le informazioni riservate per quanto possibile o nel farle proteggere in sede giudiziaria.
7.9 Su richiesta scritta dell’azienda industriale che divulga le informazioni, Lei restituirà o distruggerà immediatamente tutte le riproduzioni e copie fisiche e/o elettroniche delle informazioni riservate, inclusi i materiali da Lei predisposti che contengano informazioni riservate o che consentano di ricavarle (indipendentemente dal supporto su cui sono incorporate), a scelta dell’azienda industriale che le divulga, e confermerà immediatamente per iscritto all’azienda industriale che le divulga la completa restituzione o distruzione.
7.10 Eventuali obblighi legali di conservazione applicabili ostano a ciò solo se sono inderogabili. Un diritto di ritenzione da parte Sua (indipendentemente dal fondamento giuridico) è escluso.
8. Responsabilità
8.1 Evolute risponde senza limitazioni per dolo e colpa grave, per i danni derivanti da lesioni alla vita, all’integrità fisica o alla salute causati da Evolute, dai suoi rappresentanti legali o ausiliari nell’adempimento, nonché ai sensi della legge sulla responsabilità per danno da prodotto.
8.2 Per colpa lieve, Evolute risponde solo in caso di violazione di un obbligo contrattuale essenziale da parte di Evolute, dei suoi rappresentanti legali o dirigenti o ausiliari nell’adempimento. In tal caso Evolute risponde solo per i danni prevedibili, il cui verificarsi sia tipicamente prevedibile. Gli obblighi contrattuali essenziali sono quegli obblighi che costituiscono il fondamento del contratto, che sono stati determinanti per la conclusione del contratto e sul cui adempimento Lei può fare affidamento.
8.3 Per il resto, la responsabilità di Evolute è esclusa.
9. Manleva
9.1 Lei garantisce che nell’utilizzo di Evolute Connect non vengano violati diritti di terzi.
9.2 Lei manleva Evolute, a prima richiesta, da tutte le pretese di terzi, nella misura in cui queste si fondino sul mancato adempimento degli obblighi contrattuali da parte Sua. Lo stesso vale per le spese processuali sostenute in relazione alla difesa contro tali pretese, ossia le spese legali e giudiziarie effettivamente sostenute e gli altri costi connessi alla conduzione del processo.
10. Ulteriori accordi
È possibile che le aziende industriali partecipanti a Evolute Connect stipulino un ulteriore accordo separato che regoli i diritti di utilizzo, la riservatezza o le procedure di test sul campo; ciò non è escluso dal presente accordo sui diritti di utilizzo.
11. Modifiche e integrazioni delle Condizioni d’uso
Evolute si riserva il diritto di modificare o integrare le Condizioni d’uso. Evolute La informerà di ogni modifica o integrazione. Le modifiche e le integrazioni si considerano da Lei accettate, salvo che Lei non si opponga per iscritto entro quattro settimane dalla comunicazione. Evolute richiamerà nella comunicazione relativa alla modifica o integrazione delle Condizioni d’uso le conseguenze del silenzio. Qualora Lei non accetti le modifiche o le integrazioni, Evolute può escluderLa dall’utilizzo di Evolute Connect con effetto immediato e senza preavviso, nella misura in cui il proseguimento dell’utilizzo da parte Sua sia irragionevole per Evolute, tenuto conto di tutte le circostanze. Nel caso di modifiche o integrazioni delle Condizioni d’uso obbligatorie ai sensi del diritto vigente o per ordine giudiziario o amministrativo, il termine sopra indicato può essere anche più breve.
12. Disposizioni finali
12.1 Il contenuto delle presenti Condizioni d’uso non può essere interpretato come concessione o trasferimento in Suo favore, tramite licenza o in altro modo, di qualsivoglia diritto in relazione a diritti brevettuali, diritti d’autore, segreti commerciali o altri diritti di proprietà industriale, né il presente accordo Le conferisce diritti in relazione alle informazioni riservate, ad eccezione dell’utilizzo delle informazioni riservate come disciplinato nelle presenti Condizioni d’uso.
12.2 Condizioni generali di contratto/utilizzo divergenti o integrative da parte Sua non vengono riconosciute e non costituiscono pertanto parte integrante del contratto, anche qualora Evolute non vi si opponga. Anche qualora Evolute faccia riferimento a uno scritto che contenga o rinvii a condizioni generali di controparte, ciò non costituisce consenso alla validità di tali condizioni generali. Solo qualora Evolute acconsenta espressamente per iscritto alla validità di altre condizioni generali di contratto/utilizzo, queste trovano applicazione.
12.3 Non esistono accordi accessori verbali o scritti alle presenti Condizioni d’uso. Le modifiche alle presenti Condizioni d’uso richiedono la forma scritta.
12.4 Il luogo di adempimento per tutti gli obblighi derivanti direttamente o indirettamente dalle presenti Condizioni d’uso è la sede di Evolute.
12.5 Lei è autorizzato/a alla compensazione e alla ritenzione solo per crediti incontestati o accertati con sentenza passata in giudicato derivanti dalle e in relazione alle presenti Condizioni d’uso.
12.6 Lei necessita del preventivo consenso scritto di Evolute per la cessione dei Suoi diritti ai sensi delle presenti Condizioni d’uso.
12.7 Le Condizioni d’uso sono soggette al diritto tedesco, così come applicabile tra parti con sede in Germania, con esclusione della Convenzione delle Nazioni Unite sui contratti di vendita internazionale di merci, che non trova applicazione.
12.8 Il foro competente esclusivo è – nella misura consentita dalla legge – Düsseldorf.
12.9 Qualora singole disposizioni delle Condizioni d’uso siano o diventino invalide o inapplicabili dopo la conclusione del contratto, ciò non pregiudica la validità delle restanti Condizioni d’uso. In luogo della disposizione invalida o inapplicabile si applicherà la disposizione valida e applicabile i cui effetti si avvicinino il più possibile all’obiettivo economico perseguito.
